Japan's domestic AI rules now form a layered structure: METI/MIC's AI Business Operator Guideline 1.1, the Act on the Protection of Personal Information (APPI), and the AI Promotion Act. We organize the practical responsibilities of the three categories — AI developer, AI provider, AI user — and integrated management through PIA and risk-based approaches, drawing on ZEROCK's design philosophy.

Hello, this is Hamamoto from TIMEWELL.

Over the past year, I have seen many people stumped when their boss asks, "So under the AI Business Operator Guideline, which side are we on?" METI and MIC published the AI Business Operator Guideline (Version 1.1) on March 28, 2025, followed by Version 1.2 on March 31, 2026[^1][^2]. On top of that, the Act on Promotion of Research, Development and Application of Artificial Intelligence-related Technologies (the AI Promotion Act) was enacted on May 28, 2025 and took full effect on September 1, 2025[^3]. And the Personal Information Protection Commission's administrative guidance to OpenAI dated June 2, 2023 still sits at the foundation[^4]. Before we knew it, Japan's AI rule-set had become a multi-layered stack.

This article organizes that three-layer structure into a granularity that AI governance teams in Japanese enterprises can actually act on. Think of it as a practical map to keep on your desk when "I was told to read the Guideline, but I have no idea where to start."

Capturing the structure of AI Business Operator Guideline 1.1 in the shortest path

Let's start with the skeleton. Version 1.1, published on March 28, 2025, updates Version 1.0 (April 19, 2024). Version 1.2 followed on March 31, 2026. The document is structured in two parts — the Main Body and the Appendix. The Main Body covers the "why (basic philosophy)" and the "what (principles)", while the Appendix covers the "how (implementation)"[^1].

The Main Body has five sections: Section 1 Basic Philosophy, Section 2 Common Guiding Principles, Section 3 for AI Developers, Section 4 for AI Providers, and Section 5 for AI Users. The Common Guiding Principles in Section 2 list ten items: human-centric design, safety, fairness, privacy protection, security, transparency, accountability, education and literacy, fair competition, and innovation[^5]. They look like textbook material at first glance, but each item maps directly to questions raised in real contract negotiations and audits. The moment a counterparty asks "Who at your company is accountable when an AI incident occurs?" or "How do you verify bias in your training data?", the ten principles function as a ready-made answer template.

What stands out in Version 1.1 is its positioning as a Living Document and the strengthened linkage to the Hiroshima AI Process International Guiding Principles[^1]. Living Document means that revisions occur at least annually, so companies cannot say "we complied once, we are done." A revision-following cycle is required. Version 1.2 significantly expanded coverage of AI agents and physical AI, and made Human-in-the-Loop design explicit[^2][^6]. Without baking forward-compatibility into your design, you face a major rebuild every year.

The Appendix is an implementation guide that bundles checklists, worksheets, references to contract guidelines, and stakeholder-spanning virtual case studies[^7]. I sometimes meet people who only read the Main Body and write off the Guideline as too abstract to be useful — but skipping the Appendix is a missed opportunity. It contains material at a granularity that you can drop directly into internal AI policies and approval workflows.

When I explain this to clients, I describe the Main Body as "a declaration for executives" and the Appendix as "a working manual for the field." Splitting the two lets you align executive intent with field operations without contradiction.

The three categories of AI developer, AI provider, and AI user — and their practical responsibilities

The first question every team faces is: which category does our company fall into? The Guideline divides AI-involved actors into three: AI developer, AI provider, and AI user[^8]. The developer designs, trains, and researches models. The provider supplies developed AI systems to others. The user adopts AI to run their own business.

In practice, the three rarely separate cleanly. A company that calls the OpenAI API, embeds it in its own product, and ships it to customers is technically using OpenAI as the developer. But once it adds output guards, prompt design, and fine-tuning, it has effectively taken on a "derivative development" role. If the same product is also used internally, it doubles as a user. The Guideline requires accepting the responsibilities of every applicable category — not just one[^8].

The category most often misjudged is the AI provider, whose responsibilities are heavier than they look. The provider may believe it is merely relaying an API, but to the end user, "this is your company's AI." Inaccurate output, discriminatory responses, and leakage of confidential data — regardless of how the contractual liability is written, the provider's name takes the reputational hit. Section 4 of the Guideline reflects this reality and expects the provider to act as the bridge that "receives information from the AI developer and conveys it appropriately to the AI user"[^5]. Internally, that means translating model cards and risk assessments authored by the developer into terms of service and operational guides for the user.

The user's responsibilities are not light either. Section 5 requires risk evaluation tailored to the user's purposes, employee training, logging and monitoring, and remediation of inappropriate outputs[^5]. Treating it as "we are just using it" creates a vacuum where no one owns output verification, eventually leading to irreversible discrepancies in management decisions or customer interactions.

What I recommend is to build an in-house "applicability matrix." Place developer/provider/user across the columns, and concrete AI use cases down the rows. Fill each cell with applicable, not applicable, or partially applicable, and tag the applicable cells with the relevant Guideline section number and the responsible internal department. That single artifact moves discussions from abstract principles to concrete decisions.

Going one layer deeper into APPI x generative AI

You cannot discuss the AI Business Operator Guideline without addressing the Act on the Protection of Personal Information (APPI). The Common Guiding Principle of "privacy protection" presupposes compliance with APPI and other related laws[^5].

The starting point is the administrative guidance issued by the Personal Information Protection Commission (PPC) to OpenAI on June 2, 2023[^4]. It required: not acquiring sensitive personal information (such as race, creed, social status, medical history, criminal record, or victimization history) for training without consent; promptly deleting it or rendering it non-identifiable if acquired; and presenting the purposes of use to Japanese users in Japanese. Sensitive personal information is, in principle, prohibited from acquisition without consent under Article 18(2) of APPI, so this is less a "generative AI-specific" issue than the straightforward application of existing law to AI development.

A point that does relate specifically to generative AI is the PPC's interpretation that "trained parameters do not constitute personal information once correspondence to a specific individual is lost"[^9]. This is easily misread as "anything can be put in safely." It cannot. Mixing personal data into training data itself remains subject to rules on purpose specification, outsourcing, and third-party transfer. If your business workflow leaves customer names or employee IDs flowing freely into prompts, that may be evaluated as a "third-party transfer of personal data" to the generative AI vendor — requiring either consent or an outsourcing contract.

Since 2025, the PPC has been advancing legal amendments. The discussion is moving toward exempting consent for personal data acquired for AI development or statistical purposes[^10]. The regulatory center of gravity is shifting from gating consent at the input to supervising how outputs are used at the exit. For companies, that brings some relief on the input side — but increases the need to invest in output-side controls (use restrictions, re-identification prevention, log audits). The era of escaping with a single consent click is ending.

For any AI use case that touches personal information, I recommend a three-layer defense as a minimum. First, do not use personal data for training or tuning (or, if you must, enforce pseudonymization, an outsourcing contract, and notice to the data subject as a set). Second, insert a pipeline that automatically masks or anonymizes prompt inputs by data type. Third, set up a review process that checks outputs for re-identification risk. Even one missing layer dramatically increases your accountability burden when an incident happens.

How to implement a risk-based approach

A common language across the Guideline is the risk-based approach[^5][^11]. The premise is simple: it is unrealistic to apply the same control intensity to every AI use case, so prioritize based on the combination of impact and likelihood.

Concretely, the procedure looks something like this. Inventory your use cases. Score each on five axes — sensitivity of data, degree of involvement in decisions, level of automation, number of affected individuals, and reversibility — using a five-point scale. Multiply the axes to derive a risk score. Use cases in the upper band get heavy controls (PIA, third-party reviews, Human-in-the-Loop, external audits). The middle band runs on internal guidelines and training. The lower band runs on a notification basis.

A useful tool here is the Privacy Impact Assessment (PIA)[^12]. PIA is a methodology for evaluating privacy risk during the planning and development phase of new services or systems handling personal information. While not a statutory requirement in Japan, government agencies and forward-leaning enterprises (such as KDDI) operate it voluntarily[^13]. The Guideline's Appendix positions PIA as one tool of the risk-based approach[^7]. As an AI-specific extension, I recommend standardizing an "AI Impact Assessment" internally that adds AI-specific items — training data bias, the impact of model updates, output re-identification risk.

The often-overlooked piece is monitoring during the operational phase. I have repeatedly seen use cases initially classified as "low risk" expand in scope until they cross into high-risk territory before anyone notices. Build a routine — at least every six months — to take stock of usage logs, feedback, and incident records per use case, and to recalculate the risk score. As the corporate-side counterpart to a Living Document Guideline, this re-evaluation cycle is what keeps you in step.

KDDI's three-layer system of Privacy Governance, Data Governance, and AI Governance under direct CEO supervision, and Resona Holdings' integrated operation of guideline development, risk-check process, and employee training, are useful precedent cases[^14][^15]. Don't aim for perfection from day one. Start with the three-piece set of "an executive-led AI Governance Committee," "quarterly risk reviews," and "annual policy revisions," and most companies will clear the minimum bar within six months.

"No penalties" does not mean the risk is gone

The AI Business Operator Guideline itself is non-binding soft law, and there are no administrative dispositions or criminal penalties tied solely to a Guideline breach[^16]. The AI Promotion Act is also a basic-law-style statute with no penalty clauses[^3]. Hearing only that, some conclude they can ignore it. Reality is harsher.

First, the related laws referenced by the Guideline carry penalties. APPI imposes obligations on purpose specification (Article 17), restrictions on acquiring sensitive personal information (Article 20(2)), and restrictions on third-party transfers (Article 27). Violations move through PPC guidance, recommendations, and orders, and a violation of an order is punishable by up to one year of imprisonment or a fine of up to 1 million yen. Under dual-liability provisions, fines for legal entities can reach up to 100 million yen. If non-compliance with the Guideline implicates APPI, both administrative and criminal exposure stack.

Second, contractual risk. Recent business consignment contracts, SaaS terms, and data-provision agreements routinely include a clause that operations must comply with the AI Business Operator Guideline. A discovered breach can become grounds for contract termination, damages, or disqualification from bids. Even without statutory penalties, the business penalties are real.

Third, reputational risk. Inappropriate use of generative AI or information leakage spreads on social media overnight. More companies are now disclosing their alignment with the Hiroshima AI Process International Guiding Principles, the AI Business Operator Guideline 1.1, and PIA implementation status in securities reports and integrated reports[^14]. The more disclosure becomes the norm, the heavier the explanatory burden becomes for those who do not. Market and counterparty pressure is effectively converting the Guideline into binding norms.

Fourth, tort liability risk. When an AI-driven mistake causes harm to individuals or companies, the company may face suits under multiple bases — Article 709 of the Civil Code (tort), analogous application of the Product Liability Act, or breach of duty of care under outsourcing contracts. The defense of "the AI did it on its own" does not hold unless there is evidence of Human-in-the-Loop and risk evaluation. The Japan Federation of Bar Associations' AI Strategy Working Group, in September 2025, also published precautions for generative AI use in legal practice, emphasizing explainability as a duty of care[^17].

In my view, deferring action on the basis of "there are no penalties" is a gamble. The AI Promotion Act may yet be amended toward a hard-law form, and investing early in an operating model is, in total cost, cheaper than catching up later.

Choosing an enterprise AI platform that supports integrated management

Sustaining the three layers — Guideline alignment, personal data protection, risk-based operations — through paper policies and manual reviews has clear limits. Compliance with the AI Business Operator Guideline is not a standalone checklist exercise — it generates competitive advantage when connected to economic security, data sovereignty, and education and literacy.

You do not need to build the perfect system on day one. Draft the applicability matrix for the three categories, take stock of your current state against the ten common principles, and run PIA on the highest-risk use cases first. Starting from there, you can stand up a system that is presentable to executives within the year. Governance that keeps pace with a Living Document is not built in a one-off project. It must be raised into an organizational habit through three rhythms: annual revision, quarterly review, and monthly operational records. It is unglamorous work, but the gap widens between companies that take it seriously.
